Vendor Seller Agreement

This Vendor Seller Agreement ("Agreement") supplements our Terms of Service and applies specifically to users selling products and services on FanCraft Market. By creating a Vendor account, you agree to these additional terms.
1. Vendor Account Requirements
1.1 Eligibility
To sell on FanCraft Market, you must:
- Be at least 18 years old or have parental/guardian consent
- Receive an invitation from FanCraft Market admin
- Pass admin profile review and approval
- Provide accurate business information
- Comply with all applicable laws and regulations
- Have the legal right to sell the products/services you offer
1.2 Account Approval
All Vendor accounts require admin approval. We reserve the right to reject applications or suspend accounts that do not meet our standards for quality, legality, or community fit.
1.3 Profile Information
You must maintain an accurate and professional profile with:
- Business name and description
- Logo and banner images (meeting our size requirements)
- Portfolio showcasing your work
- Clear policies (shipping, returns, custom work)
- Contact information for buyer inquiries
2. Listing Requirements
2.1 Product & Service Listings
All listings must include:
- Accurate and detailed descriptions
- Clear, high-quality photos
- Honest pricing (including any additional fees)
- Realistic timelines for custom work
- Relevant fandom/category tags
2.2 Prohibited Listings
You may not list:
- Counterfeit or replica items sold as authentic
- Stolen or illegally obtained products
- Hazardous materials or weapons
- Adult content or sexually explicit materials
- Items that violate intellectual property rights
- Misleading or deceptive products
- Products prohibited by law
2.3 Intellectual Property
IMPORTANT: You are solely responsible for ensuring your products do not infringe copyrights, trademarks, or other IP rights.
Fan-Made Content Guidelines:
- Transformative Works: Create original interpretations, not direct copies
- Avoid Official Branding: Do not use official logos, trademarks, or brand names
- Labeling: Clearly indicate items are "fan-made" or "inspired by"
- Fair Use: Understand fair use limitations (varies by jurisdiction)
- Licensing: Obtain licenses when required
Risk Acknowledgment: You acknowledge that selling fan-made content carries legal risks. FanCraft Market is not liable for IP claims against your products. You agree to indemnify us against such claims.
3. Commission Structure
3.1 Platform Fees
FanCraft Market charges a commission on all completed transactions:
- Launch Period Rate: 0% until February 15th, 2026
- Early Bird Rate: 10% of product/service subtotal (for sellers who joined during launch)
- Standard Rate: 12% of product/service subtotal
Important: Commission is calculated on the product/service subtotal only. We do not take commission on shipping costs or taxes.
Payment Processing Fees: Stripe charges approximately 2.9% + $0.30 per transaction. FanCraft Market splits these fees 50/50 with you - you pay ~1.45% + $0.15, we pay the other half.

3.2 Fee Changes
We reserve the right to adjust commission rates with 30 days' notice. Early Bird rates are locked for life - once you qualify, you keep the 10% rate forever.
3.3 No Fee Circumvention
You may not attempt to circumvent platform fees by directing buyers to off-platform transactions. Violations result in immediate account termination and forfeiture of pending funds.
4. Order Fulfillment
4.1 Response Time
You must respond to RFQs and buyer messages within 48 hours. Consistent non-responsiveness may result in account penalties.
4.2 Timeline Commitments
You must fulfill orders within the timeline specified in accepted offers. If delays occur:
- Notify the buyer immediately
- Provide a revised timeline
- Offer compensation if appropriate
4.3 Quality Standards
All products must match listing descriptions and photos. Delivered work must be of professional quality consistent with your portfolio.
4.4 Shipping & Delivery
For physical products:
- Package items securely to prevent damage
- Provide tracking information when available
- Use appropriate shipping methods for fragile items
- Insure high-value shipments
4.5 Digital Deliveries
For digital products (STL files, tutorials, etc.):
- Deliver files in agreed-upon formats
- Ensure files are complete and functional
- Provide usage instructions when necessary
- Respect buyer's personal use rights
5. Payment Terms
5.1 Payment Processing
All payments are processed through Stripe. Funds are held in escrow until delivery is confirmed.
5.2 Payouts
Payouts are processed after:
- Buyer confirms delivery (or 7 days after delivery with no disputes)
- Commission is deducted
- Funds are transferred to your connected Stripe account
5.3 Refunds & Disputes
You are responsible for handling refund requests according to your stated policies. Unresolved disputes may be escalated to FanCraft Market for mediation.
Refund Scenarios:
- Non-delivery: Full refund required (commission not charged)
- Item not as described: Full or partial refund as appropriate
- Buyer remorse: Per your stated refund policy
- Damaged in shipping: Refund or replacement (your choice)
5.4 Chargebacks
You are responsible for chargebacks resulting from non-delivery or fraud. Excessive chargebacks may result in account suspension.
6. Vendor Responsibilities
6.1 Legal Compliance
You must:
- Comply with all applicable laws (business licenses, taxes, regulations)
- Report income to tax authorities
- Maintain necessary business insurance
- Follow consumer protection laws in your jurisdiction
- Comply with international trade regulations (if applicable)
6.2 Customer Service
You must provide:
- Prompt and professional communication
- Clear policies (refunds, returns, custom work terms)
- Reasonable dispute resolution
- Honest representations of capabilities and timelines
6.3 Platform Conduct
You must:
- Treat buyers and other vendors with respect
- Not manipulate reviews, ratings, or search rankings
- Not engage in price fixing or anti-competitive behavior
- Not spam or harass users
- Not share buyer contact information without consent
7. Content Rights & Licensing
7.1 Your Content
You retain ownership of your portfolio images, product photos, and descriptions. By uploading to FanCraft Market, you grant us a worldwide, non-exclusive license to display, promote, and distribute your content on our Platform and in marketing materials.
7.2 Portfolio Use
We may feature your work in:
- Platform homepage and curated collections
- Social media marketing
- Email newsletters
- Press releases and case studies (with your consent)
7.3 Buyer Rights
Unless otherwise specified, buyers purchase personal use rights only. They may not:
- Resell your work commercially
- Reproduce your work for distribution
- Claim your work as their own
You may offer commercial licenses as an add-on service with clear terms.
8. Account Suspension & Termination
8.1 Grounds for Suspension
We may suspend or terminate your account for:
- Violation of Terms of Service or this Agreement
- Repeated late deliveries or non-fulfillment
- Intellectual property infringement
- Fraudulent or deceptive practices
- Poor customer service or excessive disputes
- Attempting to circumvent platform fees
- Harassment or abusive behavior
8.2 Termination Process
Minor violations may result in warnings. Serious violations result in immediate suspension. Terminated accounts forfeit pending funds and may not re-register.
8.3 Voluntary Termination
You may close your account at any time. You remain responsible for:
- Fulfilling outstanding orders
- Addressing any disputes or refund requests
- Withdrawing pending funds within 90 days
9. Indemnification
You agree to indemnify and hold harmless FanCraft Market, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your products or services
- Intellectual property infringement claims
- Breach of this Agreement or Terms of Service
- Violation of laws or regulations
- Your interactions with buyers
10. Amendments
We may update this Agreement at any time. Changes will be posted with a new "Last Updated" date. Significant changes will be communicated via email. Continued use of the Platform constitutes acceptance of revised terms.
